These Terms of Service ("Terms") govern your use of outofframe.agency (the "Website") and any services provided by Out Of Frame LLC ("we," "us," "our"). By using the Website or engaging our services, you agree to these Terms.
Out Of Frame LLC provides digital marketing services, including the setup, management, and optimization of online advertising campaigns. The specific scope, deliverables, fees, and duration of any engagement are set out in a separate Service Agreement. Where a Service Agreement conflicts with these Terms, the Service Agreement controls.
You must be at least 18 years old and have the authority to enter into a binding agreement on behalf of yourself or the entity you represent.
Unless expressly agreed otherwise, advertising spend paid to third-party platforms is separate from our fees and is your responsibility. We are not responsible for platform charges, billing disputes, account suspensions, or policy enforcement actions taken by any advertising platform.
We do not guarantee any specific outcome, including impressions, clicks, conversions, rankings, revenue, or return on ad spend. Any projections or examples of prior results are illustrative only.
Either party may terminate an engagement per the notice period stated in the Service Agreement, or on 30 days' written notice if none is stated. We may suspend or terminate services immediately for breach, non-payment, or unlawful use. Fees for work performed up to termination remain payable.
Our materials. All content on the Website, along with our methods, templates, and tools, remains our property.
Your materials. You retain ownership of all content, trademarks, and data you provide. You grant us a limited license to use these materials solely to perform the services.
Deliverables. Upon full payment, you receive ownership of the campaign assets created specifically for you. This does not transfer ownership of our underlying methods or frameworks.
Each party agrees to keep confidential any non-public information received from the other party for two years after the engagement ends.
The Website and services are provided "as is" and "as available." We disclaim all warranties, express or implied, to the fullest extent permitted by law.
We are not liable for indirect, incidental, consequential, or punitive damages. Our total liability shall not exceed the total fees paid by you in the three months preceding the claim.
You agree to indemnify and hold harmless Out Of Frame LLC from claims arising out of your breach of these Terms, materials you provide, or your violation of any law or third-party right.
We act as an independent contractor. Nothing in these Terms creates a partnership, joint venture, or employment relationship.
These Terms are governed by the laws of the State of Wyoming, United States. The parties will first attempt to resolve any dispute through informal negotiation, then exclusively in the state or federal courts located in Wyoming.
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
We may update these Terms from time to time. Changes take effect upon publication on the Website.
